1. Overview

This Partner & Affiliate Agreement ("Agreement") governs the relationship between Maintainly ("Company," "we," "us") and individuals or entities ("Partner," "you") who participate in the Maintainly Sales Representative Program or Affiliate Program.

By accepting an invitation, creating an account, or clicking "I agree to the Sales Rep / Affiliate Terms," you agree to be bound by this Agreement in full.

2. Eligibility

Sales Representatives

Sales Representatives are invited directly by Maintainly. You must:

  • Accept an invitation via the unique link sent to your email address.
  • Complete the account setup, including agreeing to these Terms.
  • Be a legal resident or registered business entity in a jurisdiction where receiving commissions is lawful.
  • Not be a current Maintainly customer or have any ownership interest in a Maintainly subscriber account.

Affiliate Partners

Affiliate accounts are created and activated by Maintainly. To remain eligible, you must:

  • Have an active, approved affiliate account on file.
  • Not simultaneously be a Maintainly subscriber on the account you refer.
  • Comply with all applicable laws, including those governing endorsements, advertising, and referral marketing.

3. How It Works

Your Unique Referral Code

Each Partner is assigned a unique referral code (e.g., MAIN-XXXX). You can share this code directly or via your personal referral link (e.g., https://maintainly.us/?ref=MAIN-XXXX).

Cookie Window

When a prospect clicks your referral link, a tracking cookie is placed in their browser that remains active for 30 days. If that prospect signs up for a paid Maintainly plan within the 30-day window, you receive attribution for that customer.

First-Touch Attribution

Attribution is assigned on a first-touch, winner-takes-all basis. The first Partner whose referral code is associated with a customer account owns that customer's commissions for the life of their subscription. Subsequent referral codes from other Partners will not override an existing attribution.

Attribution is permanent and immutable once set, except in cases of fraud, self-referral, or administrator override.

Self-Referrals Are Prohibited

You may not refer yourself, any business you own or control, or any account where you are listed as an administrator or primary contact. Self-referrals detected by our system will be voided and no commission will be issued.

4. Commission Structure

Commission Eligibility Stages

Each commission entry passes through the following stages:

  • Eligible — The first paid invoice from a new customer. This commission is held during a confirmation window to account for refunds or disputes.
  • Payable — The second and all subsequent invoices from the same customer. These are included in the next monthly payout calculation once the minimum balance is met.
  • Paid — Commission has been disbursed to the Partner.
  • Reversed — Commission was voided due to a refund, chargeback, self-referral, or fraud finding.
Note: The "Eligible" hold on the first invoice exists to protect against refunds on initial signups. Once the customer pays a second invoice, all eligible commissions from that customer advance to "Payable."

Refunds & Chargebacks

If a referred customer receives a full or partial refund, or if a payment is reversed due to a dispute or chargeback, the corresponding commission will be reversed. If the commission has already been paid out, the reversed amount will be deducted from your next payout.

Subscription Cancellations

If a referred customer cancels their subscription, any pending (Eligible/Payable) commissions associated with unpaid invoices from that customer will be voided. You will continue to receive commissions for any invoices that were paid prior to cancellation and have not been reversed.

5. Payout Schedule & Process

Payout Cycle

Payouts are calculated and processed on a monthly basis. The payout calculation runs automatically at the beginning of each calendar month and covers all "Payable" commissions accrued through the end of the prior month.

Minimum Payout Threshold

A minimum balance of $50.00 USD must be accrued before a payout is issued. If your balance is below $50.00, it rolls over to the following month and continues to accumulate until the threshold is met.

Payout Method

Payouts are issued via electronic transfer. Maintainly will contact you via the email address on your Partner account to coordinate payment method (ACH bank transfer, PayPal, or as otherwise mutually agreed in writing). You are responsible for providing accurate payment information.

Important: Maintainly is not responsible for funds sent to incorrect payment details you provide. Always verify your payment information is current in your account.

6. Partner Conduct & Prohibited Activities

As a Partner, you agree to represent Maintainly professionally and honestly. You may not:

  • Make false or misleading claims about Maintainly's product, pricing, or features.
  • Place referral links in spam emails, unsolicited bulk messages, or any medium that violates applicable anti-spam laws.
  • Use paid advertising that directly bids on the keyword "Maintainly" or any brand-related terms without prior written approval.
  • Offer cash-back, rebates, or other monetary incentives to prospects on behalf of Maintainly without written authorization.
  • Self-refer, or refer any customer in which you have a financial or ownership interest.
  • Engage in cookie stuffing, link hijacking, or any other deceptive attribution practice.
  • Disparage Maintainly or its personnel in any public forum.

Violation of these conduct requirements may result in immediate termination of your Partner account and forfeiture of unpaid commissions.

7. Taxes & Reporting

You are solely responsible for all taxes, duties, and obligations arising from commissions earned under this Agreement.

  • If you are a US-based Partner and receive $600 or more in commissions in a calendar year, Maintainly will issue a Form 1099-NEC as required by the IRS. You may be required to provide a completed Form W-9 before your first payout.
  • Non-US Partners may be required to provide applicable tax documentation (e.g., Form W-8BEN) before payout can be processed.
  • Maintainly does not withhold taxes from commission payments unless required by law.
Tax Reminder: Commissions are considered self-employment or miscellaneous income. You are responsible for reporting and paying all applicable federal, state, and local taxes. Consult a tax professional if you have questions.

8. Termination

Termination by Maintainly

Maintainly may suspend or terminate your Partner account at any time, with or without cause, by providing written notice to your registered email address. Grounds for immediate termination without notice include, but are not limited to: fraud, self-referral, violation of conduct requirements, or legal/regulatory concerns.

Termination by Partner

You may close your Partner account at any time by contacting Eric@maintainly.us.

Effect of Termination

  • Your referral code will be deactivated immediately upon termination.
  • Payable commissions accrued before termination will be paid out in the next scheduled payout cycle, provided the minimum balance is met.
  • Eligible (first-invoice hold) commissions are forfeited upon termination unless otherwise agreed in writing.
  • No commissions will be earned on invoices paid after your termination date, even from previously attributed customers.
